ABOUT THE LEAF 12J FUND
The Leaf 12J Fund is an exciting Section 12J fund established in 2019 by Leaf Capital and the Leaf Empowerment Trust (together the “Founders”). The Founders see the Leaf 12J Fund as a catalytic opportunity to develop a unique Cape Town-based and empowered asset management business.
The fund’s objective is to harness Leaf Capital’s 20+ years of fund management and deal making experience to provide investors with a leading Section 12J opportunity that targets superior risk-adjusted returns in sectors not typically available to individual investors.
The fund looks to deploy capital into “themed” assets with a strong investment case and fundaments and is currently accepting investments in excess of R1.0m (per investor) into the following investment silos:
- Fuel Retail – Provide investors with exposure to leading brand fuel sites on major routes or in key locations
- Hospitality – We’ve partnered with a leading Cape-base property developer to offer a premium apart-hotel offering silo
The fund is now closed and no longer accepting new capital.
WHAT IS S12J?
Section 12J (or S12J) of the Income Tax Act was specifically created to encourage SA-resident taxpayers to invest in small-to-medium sized enterprises in South Africa. Unlike other tax-related investments, S12J is not linked to any specific sector, industry or asset class – and it is therefore considered to have greater potential for broad positive application while avoiding the pitfalls of other well-known tax-schemes.
Investors are entitled to claim a 100% deduction (max of R2.5m p.a. for individuals /trusts and R5.0m p.a. for corporates) against taxable income (whether capital gains or income in nature) on the capital they invest in a S12J fund – this provides an upfront tax incentive to investors equal to:
• up to 45% of the capital invested in the case of individuals and/or trusts, or
• up to 28% in the case of a company

HOW DO INVESTORS OBTAIN THEIR TAX BENEFIT?
PAYE employees submit investment details when completing annual tax returns and SARS will request a VCC certificate (issued by the fund) – S12J is well established and the refund process is standard
Provisional taxpayers include the deduction when calculating provisional / annual tax – i.e. an almost immediate tax saving

Jacqui Hathorn established Leaf Capital in 2004, together with Paul Leaf-Wright. She holds a Bachelor of Commerce C.A.I.B. degree. During her years in the banking sector, Jacqui’s activities included chairing regional credit committees, due diligence on acquisitions, formation and operations of BEE alliances, international and local mergers of major business and the disposal of non-core companies.
Jacqui held various roles in BoE (subsequently Nedbank Ltd). These included managing private wealth operations, head of finance, Head of strategy, and merger integration.
While working at Leaf Capital Jacqui began in the Corporate Finance division. She then moved on to establish the Leaf Private Equity fund (now known as Infinitus). At times Jacqui has placed her focus on Leaf Capital’s property division. Currently Jacqui currently overseas the South African operations at Leaf Capital.

Tom joined Leaf Capital in March 2014 as Financial Director of the Leaf Property Fund. Tom played a key role in the R4bn sale of property assets to Redefine Properties Limited and has now assumed overall responsibility for Leaf’s South African property interests, which also includes Silver Leaf Property Fund Limited.
He is a Chartered Accountant having gained his qualification through KPMG (Cape Town) in 2002. Prior to joining Leaf Capital, Tom spent 10 years in the UK working largely in the Financial Services Industry. He has extensive financial and business development experience from his previous roles at Barclays, Aviva and Genworth Financial.

Prior to joining Leaf Capital he worked at Old Mutual Property Investments for six years and was responsible for investment sales and acquisitions of the various funds across the regions and portfolios. His expertise ranges from fund management, property financing, development, leasing, to valuations, strategy and research.
He is also involved in strategic business initiatives on behalf of Leaf Capital including being Lead Advisor to Atlantic Leaf.
